This website is operated by Walden Holdings LLC, doing business as Walden Backyards ("Walden Backyards," "we," "us," or "our"). Throughout the site, the terms "you" and "your" refer to the user or viewer of our site.

We offer this website, including all information, tools, and services available from it, conditioned upon your acceptance of all terms, conditions, policies, and notices stated here.

By visiting our site or purchasing from us, you agree to be bound by these Terms of Service, including the additional terms and policies referenced here or available by hyperlink, including our Privacy Policy, Shipping Policy, and Refund and Return Policy.

Please read these terms carefully. If you do not agree to them, you may not use this site or purchase from us.

We reserve the right to update or replace any part of these terms by posting changes to this page. It is your responsibility to check periodically. Continued use of the site after changes are posted constitutes acceptance of those changes.

Our store is hosted on Shopify Inc., which provides the e-commerce platform that allows us to sell to you.

1. ELIGIBILITY

By agreeing to these terms, you represent that you are at least the age of majority in your state of residence, or that you are the age of majority and have given consent for any minor dependent to use this site.

You may not use our products for any unlawful purpose, and you may not violate any laws in your jurisdiction in using our services.

2. PRODUCTS, AVAILABILITY, AND DESCRIPTIONS

We have made every effort to display our products accurately. We cannot guarantee that your screen's display of any color or finish will be accurate. Steel, cast iron, and wood products vary naturally in color, grain, and finish, and minor variation is not a defect.

Products may be limited in quantity. We reserve the right to limit quantities, to discontinue any product, and to refuse or cancel any order at our discretion.

Some products are made and shipped directly by our manufacturing partners rather than from our Michigan warehouse. Lead times for these items are stated on the product page and may be longer than our standard processing time. Where an order contains both Walden and partner products, it will ship in separate shipments at no additional charge to you.

3. PRICING AND ERRORS

Prices are subject to change without notice. We reserve the right to correct any errors, inaccuracies, or omissions, including in pricing, product descriptions, promotions, shipping charges, and availability, and to cancel or change orders affected by such errors, even after an order has been submitted.

If we cancel an order because of a pricing or availability error, we will notify you at the email or phone number provided and issue a full refund of any amount charged.

4. ORDERS AND PAYMENT

You agree to provide current, complete, and accurate purchase and account information for all purchases. You agree to update your account and payment information promptly so we can complete your transactions and contact you as needed.

We reserve the right to limit or prohibit orders that, in our sole judgment, appear to be placed by dealers, resellers, or distributors, or that appear fraudulent. Wholesale and dealer inquiries should be directed to vendors@waldenbackyards.com.

5. SHIPPING, RETURNS, AND CANCELLATIONS

Shipping is governed by our Shipping Policy. Returns and refunds are governed by our Refund and Return Policy. Pre-orders and backorders are governed by our Purchase Options Cancellation Policy. Each is incorporated into these terms by reference.

6. SAFE USE OF OUR PRODUCTS

Our products are intended for use with open fire, high heat, and outdoor cooking. Fire is dangerous. You are responsible for using our products safely, following any instructions provided, complying with local fire codes and burn ordinances, supervising children and pets, and exercising reasonable care.

Do not leave a fire unattended. Do not use fire products indoors or in enclosed spaces unless the product is expressly designed and rated for that use. Allow metal products to cool fully before handling.

To the fullest extent permitted by law, we are not liable for injury, property damage, or loss resulting from misuse, unsafe use, modification, or use contrary to instructions or applicable law.

7. INTELLECTUAL PROPERTY

All content on this site, including text, photographs, graphics, logos, product designs, and the compilation thereof, is the property of Walden Holdings LLC or its licensors and is protected by United States copyright and trademark law.

"Walden Backyards," the acorn logo, "Get Backyarding," "Live Intentionally," "Stoker Poker," "Legacy Series," "Bonfire Boss," "Sure-Fire," "Fireside Chats," and "The Weed Hound" are trademarks or registered trademarks of Walden Holdings LLC.

Trademarks, product names, and images belonging to our manufacturing partners remain the property of their respective owners and are used with permission for the purpose of selling their products.

You may not reproduce, duplicate, copy, sell, resell, or exploit any portion of the site or its content without our express written permission.

8. USER SUBMISSIONS

If you submit reviews, questions, photographs, or other content, you grant us a non-exclusive, royalty-free, perpetual, worldwide license to use, reproduce, and display that content in connection with our business, including in marketing.

You represent that your submissions are your own, do not infringe anyone's rights, and do not contain unlawful, defamatory, or obscene material. We may, but are not obliged to, monitor, edit, or remove submitted content at our discretion.

9. PROHIBITED USES

You may not use the site or its content: for any unlawful purpose; to solicit others to perform unlawful acts; to violate any regulations, rules, or laws; to infringe our intellectual property or that of others; to harass, abuse, defame, or discriminate; to submit false or misleading information; to upload malicious code; to collect or track the personal information of others; to spam, phish, crawl, or scrape; or to interfere with the security features of the site.

We reserve the right to terminate your use of the site for violating any of these.

12. LIMITATION OF LIABILITY

To the fullest extent permitted by law, Walden Holdings LLC, its members, officers, employees, affiliates, agents, contractors, suppliers, and service providers shall not be liable for any indirect, incidental, punitive, special, or consequential damages of any kind, including lost profits, lost revenue, or loss of data, arising from your use of the site or any product purchased through it.

To the fullest extent permitted by law, our total liability for any claim arising out of or relating to these terms or any product shall not exceed the amount you paid for the product giving rise to the claim.

Some states do not allow the exclusion or limitation of certain damages. In those states, our liability is limited to the maximum extent permitted by law.

13. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Walden Holdings LLC and its members, officers, employees, agents, contractors, licensors, and suppliers from any claim or demand, including reasonable attorneys' fees, made by any third party arising out of your breach of these terms or your violation of any law or the rights of a third party.

14. GOVERNING LAW AND VENUE

These Terms of Service and any separate agreements by which we provide you services shall be governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflict-of-laws principles. You consent to the exclusive jurisdiction and venue of the state and federal courts located in Kent County, Michigan.

15. SEVERABILITY

If any provision of these terms is found unlawful, void, or unenforceable, that provision shall be enforceable to the fullest extent permitted by law, and the unenforceable portion shall be severed without affecting the validity of the remaining provisions.

16. TERMINATION

Obligations and liabilities incurred prior to termination survive termination. These terms are effective unless and until terminated by either you or us. You may terminate by ceasing to use the site. We may terminate at any time without notice if we believe you have failed to comply with any provision, and you remain liable for all amounts due through the date of termination.

17. ENTIRE AGREEMENT

These Terms of Service, together with the policies posted on this site, constitute the entire agreement between you and us and govern your use of the Services, superseding any prior agreements or communications. Our failure to enforce any right or provision does not constitute a waiver of it.
